1. Acceptance of Terms

By accessing and using AYOPA CreatorMart ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Eligibility

  • You must be at least 18 years old to use AYOPA CreatorMart
  • You must have a valid M-Pesa account for payments
  • You must provide accurate and complete information during registration
  • You must be a resident of Kenya, Tanzania, or Uganda (supported regions)

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring all information provided is accurate and up-to-date

4. Creator Terms

4.1 Content Creation

  • All content must comply with campaign guidelines
  • Content must be original and not infringe on third-party rights
  • You retain ownership of your content
  • You grant AYOPA a license to use your content for platform promotion

4.2 Earnings & Payments

  • AYOPA takes a 15-20% commission on earnings (varies by revenue stream)
  • Minimum withdrawal amount is KES 500
  • Payments are processed weekly via M-Pesa
  • Earnings are released 7 days after content verification
  • You are responsible for applicable taxes on your earnings

4.3 Performance Metrics

  • All views and engagement must be organic (no bots or fake engagement)
  • AYOPA reserves the right to verify metrics through third-party tools
  • Fraudulent activity results in immediate account termination and forfeiture of earnings

5. Prohibited Activities

You may not:

  • Post content that is illegal, harmful, or violates third-party rights
  • Use bots, fake accounts, or engagement pods
  • Harass, threaten, or abuse other users
  • Manipulate metrics or game the system
  • Share your account credentials with others
  • Scrape or copy platform content without permission
  • Reverse engineer or attempt to hack the platform

6. Intellectual Property

  • AYOPA owns all platform software, design, and branding
  • Creators retain ownership of their original content
  • By posting content, you grant AYOPA a non-exclusive license to display and promote it
  • You cannot use AYOPA branding without written permission

7. Brand & Seller Terms

7.1 Campaign Creation

  • Brands must provide clear campaign guidelines
  • Payment terms must be honored as agreed
  • Brands may reject content that doesn't meet guidelines

7.2 Product Listings

  • All product information must be accurate
  • Sellers are responsible for product quality and fulfillment
  • AYOPA takes a commission on marketplace transactions

8. Dispute Resolution

  • Disputes should first be reported to support@ayopa.co.ke
  • AYOPA will mediate disputes between creators and brands
  • Our decision in disputes is final
  • Serious disputes may be subject to arbitration under Kenyan law

9. Account Termination

AYOPA reserves the right to suspend or terminate accounts for:

  • Violation of these Terms of Service
  • Fraudulent activity or fake engagement
  • Harassment or abuse of other users
  • Non-payment of fees owed to AYOPA
  • Inactivity for more than 12 months

Upon termination, pending earnings may be forfeited.

10. Limitation of Liability

AYOPA is not liable for:

  • Loss of earnings or business opportunities
  • Technical issues or platform downtime
  • Third-party actions (brands not paying, scams, etc.)
  • Content posted by users
  • M-Pesa transaction failures (beyond our control)

Our maximum liability is limited to the amount of fees paid to us in the last 6 months.

11. Indemnification

You agree to indemnify and hold AYOPA harmless from any claims, damages, or expenses arising from:

  • Your use of the platform
  • Your content or activities
  • Your violation of these terms
  • Your violation of any third-party rights

12. Privacy & Data

Your privacy is important to us. Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms of Service.

13. Changes to Terms

AYOPA reserves the right to modify these Terms of Service at any time. We will notify users of significant changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.

14. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be resolved in Kenyan courts.
